Terms of Service

1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you or the organisation you represent (“Customer”, “you”) and Syasa (“Syasa”, “we”, “us”) governing your access to and use of the Syasa platform, website, and associated services (collectively, the “Service”).
By registering an account, clicking “I Agree”, or accessing the Service, you confirm that you have the authority to bind your organisation to these Terms. If you do not agree, you must not use the Service.
2. Description of the Service
Syasa is an AI-assisted policy management platform designed for organisations operating in or under the regulations of the Kingdom of Saudi Arabia. The Service enables users to:
- Generate draft corporate policies using AI (covering HR, Finance, Governance, and IT domains);
- Route policies through configurable approval workflows with full audit trails;
- Publish, version, and track policies in both Arabic and English;
- Monitor compliance alignment with Saudi regulatory frameworks including the Saudi Labor Law, CMA Guidelines, NCA ECC, and SOCPA Standards.
Syasa is a software-as-a-service (SaaS) platform accessed via the internet. We reserve the right to modify, enhance, or discontinue any feature of the Service with reasonable notice.
3. Account Registration and Security
To access the Service, you must register an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your login credentials;
- All activity that occurs under your account, whether authorised by you or not;
- Promptly notifying us at support@syasa.sa if you suspect unauthorised access.
Each user must have their own authenticated account. We reserve the right to suspend accounts where credential sharing or account abuse is detected.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service to create, distribute, or publish content that is unlawful, defamatory, fraudulent, or in violation of any applicable regulation in the Kingdom of Saudi Arabia;
- Attempt to reverse-engineer, decompile, or extract the underlying AI models, algorithms, or source code;
- Circumvent, disable, or interfere with security features or access controls;
- Use the Service to process data belonging to a third party without their lawful consent;
- Resell, sublicense, or make the Service available to third parties outside your organisation without our prior written consent;
- Submit false or misleading data, or use the platform to generate policies intended to deceive regulators or auditors.
5. AI-Generated Content — Important Disclaimer
Please read this section carefully.
The policies and documents generated by Syasa are produced by artificial intelligence and are provided as drafts to assist your organisation's internal policy development process. AI-generated outputs are not legal advice and do not constitute a lawyer–client relationship.
You are solely responsible for reviewing, validating, and approving any policy before it is published or relied upon within your organisation. Syasa makes no warranty that any AI-generated draft is complete, accurate, legally sufficient, or appropriate for your specific circumstances.
You should obtain qualified legal counsel before implementing policies that carry regulatory, employment, financial, or governance consequences. Syasa's compliance score indicators are informational benchmarks only and do not constitute a guarantee of regulatory compliance.
6. Subscription, Fees, and Payment
Access to certain features of the Service requires a paid subscription. Subscription plans, pricing, and billing cycles are set out at the time of purchase.
- Billing: Fees are charged in advance on a monthly or annual basis as selected.
- Taxes: All fees are exclusive of VAT at the applicable rate under Saudi law (currently 15%). You are responsible for any applicable taxes.
- Payment: Payment must be made via an accepted method. Failure to pay within the due period may result in suspension of the Service.
- Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing cycle. We do not provide refunds for unused portions unless required by law.
- Price changes: We will provide at least 30 days' notice before changing subscription pricing.
7. Intellectual Property
Syasa's IP: The Service, including the platform, AI models, user interface, software, design, and all related documentation, is owned by Syasa and protected by applicable intellectual property laws. These Terms do not transfer any ownership rights to you.
Your content: You retain all ownership rights in the data, documents, and policy content you upload or create using the Service (“Customer Content”). You grant Syasa a limited, non-exclusive licence to process Customer Content solely to provide the Service to you.
Feedback: If you provide suggestions or feedback about the Service, you grant Syasa the right to use such feedback without restriction or obligation to you.
8. Confidentiality
Each party agrees to keep confidential the other party's non-public business information disclosed in connection with the Service. Syasa will treat your Customer Content as confidential and will not disclose it to third parties except as required to provide the Service, as set out in our Privacy Policy, or as required by law.
You agree to keep confidential any non-public information about Syasa's platform, pricing, roadmap, or technical architecture.
9. Data Processing
By using the Service, you acknowledge that Syasa processes personal data on your behalf as a data processor (in relation to your employees' data) and as a data controller (in relation to account registration data). Our Privacy Policy governs all data processing activities. Where required under the PDPL, a separate Data Processing Agreement may be executed between the parties.
10. Warranties and Disclaimers
Syasa warrants that it will provide the Service with reasonable care and skill. To the maximum extent permitted by applicable law:
- The Service is provided "as is" and "as available" without warranty of any kind beyond what is expressly stated;
- We do not warrant that the Service will be uninterrupted, error-free, or secure at all times;
- We do not warrant that AI-generated outputs are accurate, complete, legally valid, or fit for any particular regulatory purpose;
- Any reliance on AI outputs is entirely at your own risk.
11. Limitation of Liability
To the maximum extent permitted by Saudi law, Syasa's total aggregate liability will not exceed the fees paid by you to Syasa in the twelve (12) months immediately preceding the event giving rise to the claim.
In no event will Syasa be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, regulatory fines, reputational harm, or loss of business, even if advised of the possibility of such damages.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable Saudi law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Syasa and its officers, directors, and employees from and against any claims, liabilities, damages, penalties, and costs (including legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your Customer Content; or (c) your violation of any applicable law or regulation.
13. Term and Termination
These Terms commence on the date you first access the Service and continue until terminated.
- By you: You may terminate your account at any time by cancelling your subscription and ceasing use of the Service.
- By Syasa: We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or if required by applicable law.
- Effect of termination: Your right to access the Service ceases. We will make your Customer Content available for export for 30 days following termination, after which it will be deleted in accordance with our Privacy Policy.
Sections 7, 8, 10, 11, 12, 14, and 15 survive termination.
14. Governing Law
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia.
15. Dispute Resolution
The parties will attempt to resolve any dispute through good-faith negotiation. If a dispute cannot be resolved within 30 days, it shall be referred to binding arbitration administered by the Saudi Center for Commercial Arbitration (SCCA) in Riyadh, under the SCCA Arbitration Rules then in effect, in the Arabic language.
Nothing in this section prevents either party from seeking emergency injunctive relief from a Saudi court to protect confidential information or intellectual property rights.
16. General Provisions
- Entire agreement: These Terms, together with the Privacy Policy and any order form or service agreement, constitute the entire agreement between the parties regarding the Service.
- Amendments: We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any right under these Terms does not constitute a waiver of that right.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.
